Date and deadline comparison

Business Days vs Calendar Days: Counting Deadlines

Calendar days include every date. Business days normally exclude weekends and may exclude specified public holidays or closure dates. That distinction can move a deadline by several days, but there is no single worldwide definition controlling every contract, court, bank, employer or delivery service.

The short answer

Use calendar-day counting when the instruction says calendar days—or says days and the governing rule confirms every day is counted. Use business-day counting only when the instruction calls for it, then confirm the workweek, holidays, time zone, cutoff time and whether the start day counts.

This general comparison is not a legal definition. The controlling authority determines the start date, holidays, cutoff and treatment of the final day.

Worked example: five days from Friday

If Friday triggers the deadline and counting begins the next day, five calendar days are Saturday through Wednesday. For five Monday-to-Friday business days with no holiday, the count is Monday through Friday. A holiday in that week could move the result again.

Does the start date count?

It depends on the instruction. Some systems count inclusively; many deadline rules exclude the triggering day and begin with the next day. Record the timestamp, time zone and cutoff when timing matters. Activity after a service's cutoff may be treated as received on the next business day.

Which holidays are excluded?

Business-day calculations require a defined calendar. National, regional, bank, company and court holidays are not interchangeable. International counterparties may close on different dates. Treat a general calculator as a planning aid unless its settings exactly match the controlling calendar.

Legal and contractual deadlines

Do not assume legal deadlines always exclude weekends. Some U.S. federal rules count intermediate weekends and legal holidays, then extend a due date that lands on one. Other rules differ. Read the controlling contract, statute, procedural rule or official notice; confirm high-stakes dates with the responsible organization or a qualified professional.
